2023 Grand Prix Rules

NO PURCHASE NECESSARY TO ENTER OR WIN.

WHERE PERMITTED BY LAW, ALL ENTRANTS AND THEIR ELIGIBLE BUSINESSES WAIVE THE ABILITY TO BRING CLAIMS IN A CLASS ACTION FORMAT.

This promotion is not open to the general public and is restricted to trade. Do not participate if you do not meet the eligibility criteria as set forth in the Eligibility section below. By participating in The Grimco Grand Prix (the “Promotion”), you and your eligible place of employment, as defined below, unconditionally accepts and agrees to comply with, and abide by these Official Rules and the decisions of Grimco Canada, Inc. (the “Sponsor”) which shall be final and binding in all respects. The Promotion is subject to all applicable federal, provincial and local laws and regulations.

PROMOTION PERIOD: The Promotion begins at 12:00:01 AM Central Time (“CDT”) on Tuesday, July 18. 2023, and ends at 11:59:59 PM ET on Monday, July 31, 2023, (the “Promotion Period”). Sponsor’s computer is the official timekeeping device for this Sweepstakes.

ELIGIBILITY: Restricted to Trade. This Promotion is not open to the general public. The Promotion is only open to businesses and organizations with a use for sign supplies and sign printing equipment that are located in Canada (excluding Quebec) (“Eligible Businesses”). Entries must be submitted on behalf of an Eligible Business by an owner, officer or employee of the Eligible Business (the “Representative”) who is a legal resident of Canada (excluding Quebec), and age 21 or older. The Promotion is void in Quebec, outside Canada and wherever else prohibited by law. Employees of Sponsor, Administrator and their respective subsidiaries, affiliates, advertising and promotion agencies, and their immediate family members (spouses, parents, children, and siblings and their spouses) and/or those living in the same household of them, are not eligible to enter. Sponsor reserves the right to verify eligibility of winners.

Representatives must have authority to participate in the Promotion on behalf of their Eligible Business or have obtained such authority from an employer or a co-worker with the power to grant such authority within the Eligible Business, immediately prior to participation in the Promotion. By entering, each Representative acknowledges and agrees that his/her participation in the Promotion may be subject to, or prohibited or restricted by, his/her employer’s policies and regulations and that the Representative is solely responsible for review of, and compliance with, any such policies or regulations of his/her employer. ALL PRIZES WON THROUGH THE PROMOTION WILL BE AWARDED TO THE WINNING REPRESENTATIVES' ELIGIBLE BUSINESS.

ENTRY: NO PURCHASE NECESSARY.

There are two (2) ways to enter this Sweepstakes. The information you provide will be used, in accordance with 3M’s Privacy Policy for the purposes of Sweepstakes administration and may be used for advertising and trade.

During the Promotion Period eligible Entrants have the opportunity to enter this Sweepstakes by July 31. (“Entry”).

Entries will be automatically included upon purchase. Each order containing a minimum of $500 (pre-tax) of 3M branded products is eligible for entry. For every $500 in 3M products purchased per order, eligible businesses will receive one entry. For example, an order of $535 will count as one (1) entry. An order of $1,534 in 3M products will count as three (3) entries. Multiple orders cannot be combined to earn an entry.

Sponsor reserves the right to employ additional promotional methods to give additional entries throughout the promotional period, including enabling certain SKU purchase amounts to count as double or triple the standard promotional entry awarding.

During the Promotion Period, eligible Entrants who wish to enter the Sweepstakes without {example - completing a pattern review} can do the following: on a plain piece of 3” x 5” paper, hand print your complete name, street address (no P.O. Boxes please), city, state, ZIP code, birth year, e-mail address, plus daytime and evening telephone number (“Entry”). Mail Entry in a hand-addressed, business-size (#10) envelope with first class postage affixed to: Grimco Grand Prix, c/o 490 Elgin Mills Road East, Richmond Hill ON L4C 0L8; Division will need to validate eligibility}. Each Entry must be postmarked by 10 days after July 31. Unreadable or incomplete Entries will not be processed and will not be returned to the sender. They will be considered voided. Entries generated by script, macro or other automated means or by any means which subvert the entry process are void. All entries become the property of Sponsor and will not be acknowledged or returned.

PRIZES/APPROXIMATE RETAIL VALUE (“ARV”)/ODDS: There are eighteen (18) Prizes available to be won as listed below. Total maximum ARV of all Prizes available to be won: $21,200 CAD. Limit: One (1) Prize per Eligible Business location. If more than one (1) Representative from an Eligible Business at the same business location is determined to be a potential winner, the Eligible Business is only eligible to receive the first Prize awarded and recorded and all other prizes and winning game plays/entries are void. Odds of winning a prize are dependent on the number of participants in the Promotion and the time and order in which any participant’s entry is submitted and recorded. The number of prizes available will diminish as they are awarded.

Prizes To Be Awarded:

One (1) $7,500 CAD Grimco Credit for Future Purchases – some limitations may apply on usage of this credit dependent on vendor contracts, promotional restrictions, etc. and is at the discretion of the Grimco team to limit the usage of this credit for certain items.
One (1) $2,500 CAD Grimco Credit for Future Purchases – some limitations may apply on usage of this credit dependent on vendor contracts, promotional restrictions, etc. and is at the discretion of the Grimco team to limit the usage of this credit for certain items.
One (1) $1,000 CAD Grimco Credit for Future Purchases – some limitations may apply on usage of this credit dependent on vendor contracts, promotional restrictions, etc. and is at the discretion of the Grimco team to limit the usage of this credit for certain items.
Ten (10) $250 CAD Grimco Credits for Future Purchases. Some limitations may apply on usage of this credit dependent on vendor contracts, promotional restrictions, etc. and is at the discretion of the Grimco team to limit the usage of this credit for certain items.
Two (2) Bundles of 3M IJ280 and 8428G product – Valued at $1,900 CAD each.
Three (3) Bundles of 3M IJ175 and 8418G – Valued at $1,300 CAD each.

Grimco Credits will not be replaced if lost or stolen and are subject to the terms and conditions provided at the time of issuance. Grimco Credits will expire on December 31, 2023. Grimco Credits are credits that may be used by an Eligible Business that wins them through this Promotion against the purchase price, in Canadian currency, payable by it to Grimco to complete one or more purchases by it of one or more products from Grimco prior to the Grimco Credits' expiry date.

PRIZE SELECTION & NOTIFICATION: Entries will be exported from the Grimco sales software, and winners will be selected using a random number generator.

To claim your Prize: If your business of employment is verified as an Eligible Business, you will be notified by the Administrator via email (the “Prize Notification Email”) within five (5) days of your Eligible Business' potential win. The owner or an employee of the Eligible Business with the authority to accept the Prize on behalf of the Eligible Business must follow the instructions within the Prize Notification Email to complete and return a Declaration & Release Form and correctly answer a skill-based mathematical test question without mechanical or other aid (which may, in the sole and absolute discretion of the Sponsor, be administered online, by email or other electronic means, by telephone, or in the Sponsor’s form of Declaration & Release Form) within a limited time-period. Not providing the answer within the required time period, providing an incorrect or incomplete answer, or noncompliance with the terms of administration of the skill-testing question will result in disqualification of the potential winner and an alternate winner may be selected. Without limiting the generality of the forgoing, the Sponsor reserves the right, in its sole and absolute discretion, to administer an alternate test of skill as it deems appropriate based on the circumstances and/or to comply with applicable law. The owner or an employee of the Eligible Business with authority to accept the Prize must return the completed Declaration & Release Form and correctly answer the skill-based mathematical test question as described above within seven (7) days of notification by the Administrator. Non-compliance will result in disqualification and an alternative winner may be selected.

Prizes will be awarded within 60 days of verification. In the event that a prize notification or a prize is returned as undeliverable, or if a potential Prize winner is found to be ineligible or is disqualified for any reason, Sponsor will award the applicable prize to an alternate Prize winner selected by a random drawing from among all remaining eligible entries. Only one (1) alternate drawing will be held, after which any remaining Prizes will remain un-awarded.

All potential prize WINNERS are subject to verification by Sponsor AND/or Administrator, whose decisions are final AND BINDING IN ALL MATTERS RELATED TO THE PROMOTION. A participant is not a winner of any Prize unless and until participant’s eligibility HAS been verified.

PRIZE CONDITIONS: Limit one (1) Prize per Eligible Business location. Prizes are not redeemable for cash, assignable, transferable and may not be substituted except at Sponsor’s sole discretion. Sponsor reserves the right to substitute a prize of equal or greater value at its discretion. Any other incidental expenses on prize not specified herein are the winner’s sole responsibility.

Sponsor will not replace any lost or stolen prizes or components of a prize. Only the number of prizes stated in these Official Rules is available to be won in the Promotion. If, by reason of a print or other error, more prizes are claimed than the number set forth in these Official Rules, winners will be determined in a random drawing from among all eligible claimants making purportedly valid claims to award the advertised number of prizes available.

Each merchandise prize shall be subject to its manufacturer’s standard warranty. No returns of prizes will be accepted unless the equipment is physically defective, in the Sponsor’s sole discretion, at the time of prize award.

Winners are responsible for all federal, provincial, local and income taxes associated with winning prize.

Except where prohibited by law, entry and acceptance of prize constitute permission to use winner's business name, Representative’s name, prize won, hometown, likeness, video tape, photographs, and statements for purposes of advertising, promotion and publicity (including online posting) in any and all media now or hereafter known throughout the world in perpetuity, without additional compensation, notification or permission.

GENERAL: Participating Eligible Businesses and Representatives agree to these Official Rules and the decisions of the Sponsor and the Administrator, and release the Sponsor, the Administrator, and their affiliated companies, and all other businesses involved in this Promotion, as well as the employees, officers, directors and agents of each (the “Released Parties”), from all claims and liability relating to their participation in the promotion, and the acceptance and use/misuse of the prizes offered. Participants assume all liability for and Released Parties shall be held harmless against any liability for any injury, losses or damages of any kind to persons and businesses, including personal injury or death, or injury to property caused or claimed to be caused in whole or in part, directly or indirectly, by participation in this Promotion, acceptance, possession, or use/misuse of the prize, or any claims based on publicity rights, defamation or invasion of privacy, or merchandise delivery. Sponsor is not responsible for any typographical or other error in the printing of the offer, administration of the Promotion or in the announcement of the prize.

The Released Parties are not responsible for: (i) lost, late, misdirected, damaged or illegible entries; or (ii) error, omission, interruption, deletion, defect, delay in operations or transmission, theft or destruction or unauthorized access to or alterations of entry materials, or for technical, network, telephone equipment, electronic, computer, hardware or software malfunctions of any kind, or inaccurate transmission of or failure to receive entry information by Sponsor on account of technical problems or traffic congestion on the Internet or at any web site or any combination thereof; or (iii) any injury or damage to entrant's or any other person's computer related to or resulting from participating in the Promotion. By participating in the Promotion, you (i) agree to be bound by these official rules, including all eligibility requirements, and (ii) agree to be bound by the decisions of Sponsor and the Administrator, which are final and binding in all matters relating to the Promotion. Failure to comply with these official rules may result in disqualification from the Promotion.

Sponsor reserves the right to cancel, suspend and/or modify the Promotion, or any part of it, if any fraud, technical failures or any factor beyond Sponsor’s reasonable control impairs the integrity or proper functioning of the Promotion, as determined by Sponsor. If, for any reason, the Promotion cannot be run as planned, Sponsor may disqualify any suspect entries or individuals from the Promotion and any promotions it sponsors and (a) suspend the Promotion and modify the Promotion to address the impairment, then resume the Promotion in a manner that best conforms to the spirit of these Official Rules; and/or (b) award the prizes at random from among the eligible, non-suspect entries received up to the time of the impairment.

THE RELEASED PARTIES ARE NOT RESPONSIBLE IF THIS PROMOTION CANNOT BE ADMINISTERED OR CONDUCTED OR ANY PRIZE CANNOT BE AWARDED DUE TO CANCELLATIONS, DELAYS, OR INTERRUPTIONS RESULTING OR ARISING FROM ACTS OF GOD, WAR, OR TERRORISM, CIVIL UNREST, STRIKES, SUPPLY SHORTAGES, NATURAL DISASTERS, WEATHER, EPIDEMICS, COMPLIANCE WITH ANY LAW OR ORDER OF A GOVERNMENTAL AUTHORITY, OR ANY OTHER SIMILAR ACT, EVENT, OR OCCURRENCE BEYOND THE REASONABLE CONTROL OF THE SPONSOR. BY PARTICIPATING IN THIS PROMOTION, PARTICIPANT AGREES THAT THE RELEASED PARTIES WILL NOT BE RESPONSIBLE OR LIABLE FOR ANY INJURIES, DAMAGES, OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES TO PERSONS, INCLUDING DEATH, OR TO PROPERTY ARISING OUT OF ACCESS TO AND USE OF ANY WEBSITE ASSOCIATED WITH THIS PROMOTION OR THE DOWNLOADING FROM AND/OR PRINTING MATERIAL DOWNLOADED FROM SUCH SITE, AS APPLICABLE. FURTHER, SPONSOR SHALL NOT BE RESPONSIBLE FOR ANY CANCELLATIONS, DELAYS, DIVERSIONS, CHANGES IN SERVICE OR ACCOMMODATIONS OR SUBSTITUTIONS, OR FOR ANY ACTS OR OMISSIONS BY ANY THIRD PARTIES BEYOND ITS REASONABLE CONTROL, INCLUDING AIR CARRIER(S) AND OTHER TRANSPORTATION COMPANIES; LODGING, RESTAURANT OR OTHER HOSPITALITY PROVIDERS; ENTERTAINMENT PROVIDERS, VENUES OR ARTISTS; OR OTHER THIRD PARTY PROVIDERS SUPPLYING ANY SERVICES OR COMPONENTS OF THE PRIZE(S) TO WINNERS AND/OR THEIR GUESTS, OR FOR ANY RESULTING INJURIES, INCLUDING MONEY DAMAGES, COSTS AND EXPENSES, PROPERTY DAMAGES, PERSONAL INJURIES OR DEATH RESULTING THEREFROM.

LEGAL WARNING: ANY ATTEMPT BY AN INDIVIDUAL, WHETHER OR NOT AN ENTRANT, TO DAMAGE, DESTROY, TAMPER OR VANDALIZE THIS WEB SITE OR INTERFERE WITH THE OPERATION OF THE SWEEPSTAKES, IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND DILIGENTLY PURSUE ALL REMEDIES AGAINST ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW.

DISPUTES: Except where prohibited, entrants and Eligible Businesses agree that any and all disputes, claims and causes of action arising out of, or connected with, the Promotion or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in the Province of Ontario. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, entrant’s and Eligible Business' rights and obligations, or the rights and obligations of the Sponsor in connection with the Promotion, shall be governed by, and construed in accordance with, the laws of the Province of Ontario and the laws of Canada applicable therein, without giving effect to any choice of law or conflict of law rules (whether of the Province of Ontario or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the Province of Ontario or the federal jurisdiction of Canada. The remedy for any claim shall be limited to actual damages, and in no event shall any party be entitled to recover punitive, exemplary, consequential, or incidental damages, including attorney’s fees or other such related costs of bringing a claim, or to rescind this agreement or seek injunctive or any other equitable relief. The failure or delay by Sponsor in enforcing any particular clause, provision, or aspect of these Official Rules shall not impact the validity, enforceability, or effect of any other clause, provision, or aspect of these Official Rules.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE PARTIES HEREBY WAIVE THEIR RIGHT TO JURY TRIAL WITH RESPECT TO ALL CLAIMS AND ISSUES ARISING OUT OF OR RELATING TO THIS AGREEMENT WHETHER SOUNDING IN CONTRACT OR TORT, AND INCLUDING ANY CLAIM FOR FRAUDULENT INDUCEMENT THEREOF.

PRIVACY: As a condition of entering, or other participation in, the Promotion, each individual participant, including each Representative, gives consent for Sponsor to obtain and use all personal information provided by him or her in connection with the Promotion, including his or her name, address and other information, for the purpose of administering this Promotion and to comply with applicable laws, regulations and rules, including, without limitation, the storing of such personal information for purposes of complying with record retention requirements, and to provide such personal information to third parties, including Administrator, to use for such purposes. Any personal information provided by such an individual to Sponsor or Administrator in connection with the Promotion may be used to communicate with that individual in relation to this Promotion or on a Promotion winner’s list. Personal information collected from such individuals shall be handled by Sponsor and the Administrator subject to the Sponsor’s Privacy Policy, which can be found at https://www.grimco.ca/privacy-policy.
